Terms of Service

Last updated: to be set at launch.

Draft for ALPHA review. This is a working starting point, not legal advice; have it reviewed by counsel before launch.

These terms govern your use of the ALPHA OS website and platform provided by ALPHA. By using the service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to do so.

The service

ALPHA OS is back-office software for construction, including ALPHA AP (accounts payable automation), ALPHA AR (receivables), and custom builds. Specific features, connectors, and scope are set out in your order or statement of work.

Accounts and access

You are responsible for keeping account credentials secure and for activity under your accounts. Tell us promptly if you suspect any unauthorized use.

Your data

You own the data you put into ALPHA OS. You grant ALPHA the right to process it only to provide, secure, and support the service. We handle it as described in our Privacy Policy.

Acceptable use

You agree not to misuse the service, including attempting to disrupt it, access it without authorization, or use it to break the law or infringe others' rights.

Fees

Fees, invoice-volume tiers, and any setup charges are set out in your order. Unless stated otherwise, fees are billed in advance and are non-refundable except where required by law.

Availability

We work to keep ALPHA OS available and reliable, but the service is provided on an as-is and as-available basis. During any pilot or early-access period, features may change.

Limitation of liability

To the extent permitted by law, ALPHA is not liable for indirect or consequential losses, and our total liability for any claim is limited to the fees you paid for the service in the twelve months before the claim.

Termination

Either party may end the service as set out in your order. On termination we will make your data available for export for a reasonable period, then delete it in line with our retention practices.

Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. The courts of British Columbia have jurisdiction.

Changes

We may update these terms. Material changes will be posted here with an updated date, and continued use after that means you accept them.
